1. Definitions
In these Terms, the following terms have the meanings set out below:
• "Affiliate Link" means a unique tracking URL (e.g., get.markty.ai/your-slug) or discount code assigned to a Partner for the purpose of attributing Referred Customers to that Partner.
• "Approved Application" means a Program application that Markty has reviewed and accepted, thereby enrolling the applicant as a Partner.
• "Commission" means the monetary amount payable to a Partner for a Qualifying Sale, calculated in accordance with Section 5.
• "Cookie Window" means the period of sixty (60) days from a Referred Customer's click on a Partner's Affiliate Link during which a resulting purchase remains attributable to that Partner.
• "Holding Period" means the period of thirty (30) days following a Qualifying Sale, during which Commission is recorded as Pending and subject to reversal under Section 8.
• "Markty Service" means the Markty software-as-a-service platform, including all applications, APIs, dashboards, content, and related deliverables made available at markty.ai, app.markty.ai, and any successor or related domains.
• "Program Platform" means the third-party affiliate-management platform Markty uses to operate the Program, currently Dub.co (operated by Dub Technologies, Inc.), and any successor.
• "Qualifying Sale" means a paid purchase of the Markty Service by a Referred Customer, completed within the Cookie Window, not refunded during the Holding Period, and not otherwise disqualified under these Terms.
• "Referred Customer" means a person or entity who (i) clicks a Partner's Affiliate Link or uses a Partner's discount code at the time of purchase, (ii) becomes a customer of the Markty Service, and (iii) is attributed to the Partner by the Program Platform's tracking system.
2. Eligibility
To be eligible to participate in the Program, you must:
• be at least eighteen (18) years of age (or the age of majority in your jurisdiction, whichever is higher);
• if an individual, have full legal capacity to enter into binding contracts;
• if an entity, be duly organized, validly existing, and in good standing in your jurisdiction;
• not reside in, be organized in, or operate from any country or territory subject to comprehensive trade sanctions imposed by the United Nations, European Union, United Kingdom, or United States, or otherwise be a sanctioned or restricted person under applicable export-control laws;
• not be an employee, contractor, or immediate family member of an employee or contractor of Markty (such persons may participate only under separate written authorization from Markty);
• provide accurate, current, and complete information in your application and maintain that information throughout your participation in the Program; and
• comply with all applicable laws, regulations, and these Terms.
3. Application and Approval
Participation in the Program is by application only. Markty reserves the absolute discretion to approve, reject, or revoke any application at any time and for any lawful reason, including (without limitation) concerns relating to brand fit, traffic source quality, prior history of fraud, audience overlap, or strategic reasons. Approval is not guaranteed, and rejection requires no statement of reasons. Markty may, but is not obligated to, provide feedback on rejected applications.
Upon Approved Application, you will receive access to the Partner dashboard hosted by the Program Platform. You agree that your participation in the Program is also subject to the Program Platform's own terms of service and acceptable-use policies, which are incorporated herein by reference.
4. Tracking and Attribution
Commissions are calculated based on Qualifying Sales attributed to a Partner by the Program Platform's tracking system. The Program Platform uses first-party cookies, server-side event tracking, and unique discount codes to establish attribution. The technical details of attribution are determined by the Program Platform and may be updated from time to time.
Key attribution parameters are:
• Cookie Window: sixty (60) days from the initial click on a Partner's Affiliate Link.
• Attribution Model: last-click. If a Referred Customer clicks more than one Partner's Affiliate Link within the Cookie Window, the Commission is awarded to the Partner whose link was clicked most recently before purchase.
• Discount-Code Attribution: if a Referred Customer applies a Partner's unique discount code at checkout, the Commission is awarded to that Partner regardless of cookie state.
• Self-Referrals Prohibited: Commissions are not payable on purchases made by the Partner, the Partner's immediate family members, the Partner's employees, or any entity controlled by the Partner.
You acknowledge that no tracking system is perfect and that attribution may fail in certain edge cases (including but not limited to ad-blocker interference, cookie expiration, cross-device browsing, and transient technical errors). Markty's and the Program Platform's records of attribution are final and binding, absent manifest error.
5. Commissions
Markty's default Commission structure is as follows, subject to adjustment under Section 13:
• Commission Rate: fifty percent (50%) of the net subscription revenue collected from each Referred Customer attributed to the Partner.
• Commission Duration: recurring for twelve (12) months. Commission accrues on each qualifying payment made by the Referred Customer during the twelve (12) months following their first paid subscription payment. After this twelve-month period, Commission on that Referred Customer ceases.
• Net Revenue Definition: "net subscription revenue" means the gross subscription fee received from a Referred Customer, less applicable taxes, payment-processor fees, chargebacks, and refunds.
• Customer Discounts: Markty offers Referred Customers a promotional discount of ten percent (10%) for the first twelve (12) months of their subscription. Commission is calculated on the net amount actually collected from the Referred Customer after applying this discount.
Markty reserves the right to modify Commission rates, durations, structures, or eligibility on a prospective basis (see Section 13). Prospective modifications do not affect Commissions already earned on Qualifying Sales completed prior to the effective date of modification.
6. Payment Terms
Payment Schedule. A Commission becomes payable once it has cleared the thirty (30) day Holding Period. In practice, this means each Commission is paid approximately thirty (30) days after the corresponding Qualifying Sale. Payouts are processed on a rolling monthly basis for all Commissions that have cleared the Holding Period.
Holding Period. Each Commission is initially recorded as Pending and becomes Approved (payable) only after the thirty (30) day Holding Period has elapsed without a refund, chargeback, or dispute affecting the underlying Qualifying Sale. Refunds, chargebacks, or disputes during the Holding Period result in the Commission being clawed back automatically.
Minimum Payout Threshold. Payouts are processed only when a Partner's Approved Commission balance meets or exceeds USD 50 in the relevant payment cycle. Balances below the threshold are carried forward to subsequent cycles until the threshold is met.
Payment Methods. Markty offers the following Commission payment methods through the Program Platform:
• Stripe Express (bank deposit) for Partners in supported countries.
• PayPal in regions where Stripe Express is not available.
• USDC stablecoin payouts (via the Program Platform's integrated payout provider), where supported, as an alternative for cross-border Partners.
Processing Fees. Markty bears Commission-calculation costs. Payment-processor or currency-conversion fees imposed by the Program Platform or its payout provider may be deducted from Commission payouts (currently approximately 0.5% for USDC payouts and 1% for international bank transfers, subject to change by the Program Platform).
Inactive Accounts. If a Partner's account is inactive (no logins, no Affiliate Link activity) for twenty-four (24) consecutive months and has a balance below the Minimum Payout Threshold, Markty reserves the right to forfeit any such balance, subject to applicable law.
Commission Disputes (90-Day Window). If you believe a Commission has been calculated incorrectly, omitted, or not credited to your account, you must notify Markty in writing at partners@markty.ai within ninety (90) days of the date the relevant Qualifying Sale occurred. Markty will review timely disputes in good faith using the records of the Program Platform and Stripe, which are the authoritative source for attribution and Commission calculation. Disputes raised after the ninety (90) day window will not be considered, and no back-payment or retroactive Commission adjustment will be made for sales falling outside that window. This time limit applies regardless of when you became aware of the alleged discrepancy. Markty's good-faith determination of a Commission dispute is final, subject to the appeal right described in Section 25.
7. Tax Obligations
You are solely responsible for all taxes, levies, duties, social-security contributions, and similar charges imposed by any government or taxing authority on Commissions paid to you. Markty does not withhold taxes on Commission payments unless required by law.
Where required by applicable law, the Program Platform may collect tax-identification documentation from you electronically on Markty's behalf as a condition of receiving Commission payouts. You will indemnify and hold Markty harmless from any tax assessment, penalty, or claim arising from your failure to report or remit taxes due on your Commissions.
8. Refunds, Chargebacks, and Clawbacks
If a Qualifying Sale is refunded (in whole or in part), charged back, or otherwise reversed at any time, the associated Commission will be clawed back from the Partner's Approved or Pending balance. If the Partner's balance is insufficient to cover the clawback, Markty may offset the unpaid amount against future Commissions or, in the case of recurring or material fraud, invoice the Partner for direct repayment.
9. Prohibited Conduct and Marketing Restrictions
Partners must promote the Markty Service in a manner that is honest, lawful, and consistent with Markty's brand standards. The following conduct is strictly prohibited and may result in immediate suspension, termination, and clawback of any Commissions earned through prohibited activity:
9.1 Trademark and Brand Bidding. You may not bid on, register, or otherwise use the terms "Markty," "Markty AI," "markty.ai," or any confusingly similar variation as a keyword in Google Ads, Microsoft (Bing) Ads, or any other paid search, social, or display advertising platform. You may not use such terms in ad copy, headlines, display URLs, or ad extensions.
9.2 Misleading Marketing. You may not make false, misleading, deceptive, or unsubstantiated claims about the Markty Service, including (without limitation) misrepresenting features, pricing, guarantees, results, endorsements, or testimonials. All performance, earnings, or outcome claims must be substantiated and disclose typicality where required by law.
9.3 Impersonation. You may not impersonate Markty, its employees, or its representatives. You may not use a domain, email address, social-media handle, or marketing collateral that could reasonably be confused with an official Markty channel.
9.4 Spam and Unsolicited Communications. You may not promote the Markty Service via spam, unsolicited commercial email, unsolicited SMS or messaging, or any communication that violates the CAN-SPAM Act, GDPR, the EU ePrivacy Directive, the CCPA, or any other applicable anti-spam, anti-marketing, or telecommunications law.
9.5 Cookie Stuffing and Forced Click. You may not engage in cookie stuffing, forced clicks, iframe-based forced redirects, automated link rotation, or any other deceptive technique designed to attribute traffic without genuine user intent.
9.6 Self-Referral and Incentivized Self-Purchase. You may not refer yourself, your immediate family members, your employees, contractors, or controlled entities. You may not purchase the Markty Service through your own Affiliate Link or discount code with the intent of earning Commission on the purchase.
9.7 Discount-Code Abuse. You may not distribute your Affiliate Link or discount code on deal-aggregator, coupon-aggregator, or cashback-aggregator websites without express prior written consent from Markty. Markty may grant or deny such consent at its sole discretion.
9.8 Trademark or IP Infringement. You may not use any third-party trademark, copyright, image, or other intellectual property without authorization. You are solely responsible for ensuring your promotional content does not infringe third-party rights.
9.9 Adult, Hate, or Illegal Content. You may not promote the Markty Service on adult, pornographic, hate-speech, harassment, illegal-activity, or other content that Markty considers, in its sole discretion, brand-damaging or otherwise unsuitable.
9.10 Disclosure Requirements. You must clearly and conspicuously disclose your affiliate relationship with Markty in any content promoting the Markty Service, in compliance with the U.S. Federal Trade Commission Endorsement Guides, the UK Competition and Markets Authority guidance, the EU's Unfair Commercial Practices Directive, and any other applicable disclosure law in your jurisdiction.
10. Coupon Code Policy (Strict)
Each Partner is issued one or more unique, named discount codes (for example, a code derived from the Partner's name or handle). You may promote only the unique discount code(s) assigned to you. The use, publication, or distribution of unapproved, public, generic, scraped, guessed, or auto-generated coupon codes is strictly prohibited. This restriction applies across all platforms and surfaces, including (without limitation) websites, coupon and deal directories, cashback sites, browser extensions, newsletters, social media, YouTube descriptions, paid advertisements, and pop-ups.
Why this matters. Generic and seasonal coupon codes are routinely guessed, scraped, or auto-generated by parties who do not drive genuine new customers but instead intercept customers who were already going to purchase, thereby claiming Commission they did not earn. To protect the integrity of the Program and ensure Commissions reward genuine referrals, the following policy applies.
10.1 Presumptively Invalid Codes. Generic, seasonal, or promotional code patterns are presumptively invalid. The following codes, and any variation similar in structure, meaning, or intent (including differences in capitalization, numbers, hyphens, spacing, or typographical errors) are prohibited:

10.2 Assume Prohibition. If a coupon code looks generic, seasonal, "exclusive," or too good to be true, you must assume it is NOT permitted unless Markty provided that exact code to you directly in writing.
10.3 Updates. Markty may expand or update the list of prohibited codes at any time, with or without notice. The categories above are illustrative, not exhaustive; the underlying prohibition is on any code you were not specifically and individually issued by Markty.
10.4 Consequences. Commissions generated through prohibited coupon codes will be forfeited. Use of prohibited codes may result in suspension, and repeated or willful violations may result in permanent removal from the Program and clawback of all affected Commissions.
11. SEO, Domains, and Landing Pages
Markty actively encourages original, honest review and comparison content. Articles, videos, and posts such as "Markty review" and "Markty vs [competitor]" are a welcome and approved form of promotion, provided they are genuinely your own work, add value to the reader, and clearly disclose your affiliate relationship. Such content is core to how Markty grows, and we support Partners who create it.
The following activities, however, are prohibited because they confuse users or hijack traffic that would otherwise reach Markty directly:
• registering, purchasing, or using any domain name that contains "Markty," "markty.ai," or any confusingly similar variation;
• creating web pages, landing pages, or profiles designed to appear as official Markty pages, or that otherwise impersonate Markty;
• optimizing content to rank for Markty's exact brand terms (for example "Markty," "markty.ai," "Markty login," "Markty pricing") with the intent of intercepting branded search traffic that would otherwise reach Markty directly;
• copying Markty's site layout, design, proprietary screenshots, or messaging in a manner likely to confuse users about the source of the content; or
• building redirect chains, doorway pages, or SEO traps designed to intercept Markty's branded searches.
The distinction is simple: original content that adds value and is clearly identifiable as your own is encouraged. Content designed to impersonate Markty, mimic official Markty pages, or hijack Markty's own branded traffic is prohibited.
12. Paid Advertising Restrictions
To protect brand integrity and avoid conflicts with Markty's own paid-media campaigns, Partners may not run paid advertising relating to the Markty Service without Markty's prior written approval. In addition to the trademark-bidding prohibitions in Section 9.1, the following paid-advertising activities are prohibited:
• bidding on Markty brand names, trademarks, or close variations on any paid search, social, or display platform;
• bidding on branded or campaign keywords Markty is actively targeting;
• using Markty's brand name in ad copy, headlines, descriptions, or display URLs;
• creating advertisements designed to look like official Markty advertisements;
• direct-linking your Affiliate Link in paid advertisements without Markty's prior written approval.
If you wish to run paid advertising in support of the Program, you must request and obtain written approval from Markty in advance. Unauthorized paid advertising may result in immediate suspension and forfeiture of Commissions.
13. Overlapping Marketing Efforts
Partners should complement, not cannibalize, Markty's active marketing campaigns. The following activities are prohibited without Markty's prior coordination and consent:
• duplicating or replicating Markty's live marketing assets, creatives, or testimonials;
• running campaigns that target the same audiences with substantially similar angles to Markty's active campaigns;
• reusing Markty brand creatives, customer testimonials, or case studies without written approval;
• interfering with Markty's remarketing audiences, conversion funnels, or acquisition channels.
If you wish to test a new promotional approach that may overlap with Markty's campaigns, coordinate with Markty in advance at partners@markty.ai. Collaboration is preferred over conflict.
14. Intellectual Property and Brand Use
Markty grants you a limited, revocable, non-exclusive, non-transferable, royalty-free license to use the Markty name, logo, and approved marketing materials solely for the purpose of promoting the Markty Service under the Program, in accordance with Markty's brand guidelines provided from time to time. All goodwill associated with such use inures exclusively to Markty.
You may not modify, distort, or combine the Markty name or logo in a manner that misrepresents Markty's endorsement of you, your business, or any third party. You may not register or attempt to register any domain name, trademark, social-media handle, or business name that includes "Markty," any confusingly similar term, or any Markty trademark.
All right, title, and interest in and to the Markty Service, Markty intellectual property, and all derivative works thereof remain the exclusive property of Markty. Nothing in these Terms grants you any ownership interest in Markty's intellectual property.
15. Confidentiality
You may receive non-public information from Markty in connection with the Program, including (without limitation) Program performance data, partner-specific analytics, upcoming product roadmap details, pricing information not yet public, and identities or activities of other Partners. You agree to keep such information strictly confidential, to use it solely for the purpose of participating in the Program, and not to disclose it to any third party without Markty's prior written consent. This obligation survives termination of these Terms for a period of three (3) years.
16. Data Protection
Markty processes personal data about Partners in accordance with its Privacy Policy, available at https://www.markty.ai/en/privacy-policy, and with applicable data-protection laws including the EU GDPR, UK GDPR, and (where applicable) the California Consumer Privacy Act. By participating in the Program, you acknowledge and consent to such processing.
If you collect, use, or otherwise process personal data of Referred Customers or prospective customers in connection with your marketing activities under the Program, you are an independent controller of that data and you are solely responsible for compliance with applicable data-protection laws, including the provision of all required notices and the obtaining of all required consents.
17. Term, Termination, and Modification
Term. These Terms commence upon Approved Application and continue until terminated in accordance with this Section.
Termination for Convenience. Either Markty or the Partner may terminate participation in the Program at any time, for any or no reason, by providing written notice (email to partners@markty.ai by the Partner; in-app or email notice by Markty) with thirty (30) days' advance notice. Notwithstanding the foregoing, Markty may terminate immediately under Section 13(c).
Termination for Cause. Markty may suspend or terminate a Partner's participation in the Program immediately and without notice if, in Markty's reasonable judgment, the Partner has (i) breached these Terms, (ii) engaged in fraud or misrepresentation, (iii) damaged Markty's brand or business, (iv) become subject to insolvency proceedings, or (v) violated applicable law.
Effect of Termination. Upon termination, the Partner's access to the Partner dashboard is revoked, and the Partner must promptly cease all use of the Markty name, logo, and marketing materials. Subject to the Holding Period and clawback provisions, Commissions earned on Qualifying Sales completed prior to the effective termination date will be paid in accordance with Section 6. Commissions on subscriptions that continue after termination of the Partner's participation are forfeited at Markty's discretion, except where termination was solely for the Partner's convenience and not for cause, in which case Commissions on existing Referred Customer subscriptions may continue for the duration of those subscriptions at Markty's sole discretion, subject to the Partner's ongoing compliance with these Terms.
Modification. Markty may modify these Terms at any time. Modifications take effect upon posting to markty.ai/en/affiliate-terms or upon notice to Partners through the Partner dashboard or by email, whichever is earlier. Continued participation in the Program after the effective date of any modification constitutes acceptance of the modified Terms. Material modifications will be communicated by email to active Partners with at least fifteen (15) days' advance notice.
Survival. Sections 5 (Commissions, to the extent of accrued amounts), 6 (Payment Terms, to the extent of accrued amounts), 7 (Taxes), 8 (Refunds, Chargebacks, and Clawbacks), 10 (Coupon Code Policy), 14 (Intellectual Property), 15 (Confidentiality), 16 (Data Protection), 19 (Disclaimer of Warranties), 20 (Limitation of Liability), 21 (Indemnification), and 23 (Governing Law and Disputes) survive termination.
18. Independent Contractor Status
The relationship between Markty and the Partner under these Terms is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, employment, or fiduciary relationship. Neither party has the authority to bind the other or to incur any obligation on the other's behalf.
19. Disclaimer of Warranties
The Program, the Markty Service, the Program Platform, and all related materials are provided "as is" and "as available" without any warranty of any kind, express or implied. To the maximum extent permitted by applicable law, Markty disclaims all warranties, including (without limitation) warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of tracking, uninterrupted operation, and any warranties arising from course of dealing or trade usage. Markty does not guarantee any specific level of Commission earnings, traffic conversion, or Program performance.
20. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will Markty, its affiliates, officers, directors, employees, agents, or licensors be liable to the Partner for any indirect, incidental, special, consequential, exemplary, or punitive damages, including (without limitation) loss of profits, loss of revenue, loss of business opportunity, or loss of data, even if Markty has been advised of the possibility of such damages.
Markty's aggregate liability under these Terms, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the greater of (a) the total Commissions paid by Markty to the Partner during the six (6) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD 100).
21. Indemnification
The Partner agrees to defend, indemnify, and hold harmless Markty, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) the Partner's breach of these Terms; (ii) the Partner's violation of any applicable law or regulation; (iii) any claim that the Partner's marketing activities, content, or use of Markty's intellectual property infringes a third party's rights; or (iv) the Partner's gross negligence or willful misconduct.
22. Force Majeure
Neither party will be liable for any failure or delay in performance under these Terms (other than the obligation to pay sums due) caused by an event beyond its reasonable control, including (without limitation) acts of God, war, terrorism, civil unrest, governmental action, labor disputes, internet or communications outages, or third-party service-provider failures.
23. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales, to which the parties irrevocably submit. Each party will bear its own costs, except that the prevailing party in any action is entitled to recover reasonable attorneys' fees and costs to the extent permitted by applicable law.
Notwithstanding the foregoing, Markty may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
24. Miscellaneous
24.1 Entire Agreement. These Terms, together with the Markty Privacy Policy and any supplemental written agreement between the parties, constitute the entire agreement between the Partner and Markty with respect to the Program and supersede all prior or contemporaneous communications and proposals.
24.2 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
24.3 No Waiver. No waiver of any provision of these Terms is effective unless in writing and signed by the waiving party. The failure to enforce any right or provision will not be deemed a waiver of such right or provision.
24.4 Assignment. The Partner may not assign or transfer its rights or obligations under these Terms without Markty's prior written consent. Markty may assign these Terms freely, including in connection with a merger, acquisition, sale of assets, or reorganization.
24.5 Notices. Notices to Markty must be sent to partners@markty.ai. Notices to the Partner may be sent to the email address on file in the Partner dashboard. Notices are deemed received on the date of delivery to a valid email address.
24.6 Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
24.7 Language. These Terms are written in English. Any translation is provided for convenience only; the English version controls in case of conflict.
24.8 Counterparts and Electronic Acceptance. Electronic acceptance of these Terms (including by clicking an "I agree" button or by submitting a Program application) constitutes a binding signature.
25. Appeals
If your participation in the Program is suspended or terminated and you believe the action was taken in error, you may appeal by emailing partners@markty.ai within thirty (30) days of the action. Your appeal should include your Partner account details, a description of the traffic sources and promotional methods you used, relevant screenshots or evidence, and any context you believe is relevant. Markty will review timely appeals in good faith and respond within a reasonable period. Markty's determination on appeal is final.
